DropshippingShopify provides ecommerce-related services, including Shopify store setup, website design and development, store customization, product research, product sourcing assistance, product listing, store management, and other related services.
By accessing our website, contacting us, requesting a quotation, or purchasing our services, you agree to these Terms & Conditions. If you do not agree, please discontinue using our website and services.
2. Our Services
We provide services designed to help individuals and businesses establish, develop, and manage their ecommerce operations. Depending on the agreed project scope, our services may include:
– Shopify store setup and configuration.
– Ecommerce website design, development, and customization.
– Theme installation and customization.
– Product research, product listing, and product sourcing assistance.
– Assistance with dropshipping business setup and workflows.
– Store maintenance, management, and technical support.
– Other ecommerce services agreed upon in writing.
The specific deliverables, timelines, pricing, and responsibilities for each project will be confirmed through a quotation, proposal, invoice, service agreement, or other written communication accepted by both parties.
Unless expressly agreed in writing, we do not guarantee that every service will include all the items listed above.
3. Eligibility and Client Responsibilities
By purchasing our services, you confirm that you are legally able to enter into a binding agreement and that the information you provide is accurate and complete.
You agree to:
– Provide accurate business, product, contact, and billing information.
– Supply the content, images, branding materials, and other resources required for your project.
– Provide authorized access to relevant accounts and platforms when necessary.
– Review designs, content, product listings, and other deliverables in a timely manner.
– Ensure that your products, business activities, and supplied materials comply with applicable laws and platform policies.
– Respond to requests for approvals and information within a reasonable period.
Delays in providing information, approvals, or access may affect project delivery dates.
4. Orders, Quotations, and Project Scope
A quotation or proposal describes the services and deliverables included in the proposed project. Work outside the agreed scope may require additional fees and a revised timeline.
A project will be considered confirmed when the applicable proposal, order, or agreement has been accepted and any required initial payment has been received.
Changes requested after approval may be treated as additional work. We will communicate any applicable costs and timeline adjustments before proceeding with chargeable additional work.
Any verbal discussions or informal messages that materially change the project scope should be confirmed in writing.
5. Pricing and Payments
Prices, payment schedules, deposits, milestones, and applicable taxes or third-party charges will be communicated before or during the ordering process.
Unless otherwise agreed in writing:
– Work may begin after the required initial payment has been received.
– Payments must be made according to the agreed invoice or payment schedule.
– Additional work outside the agreed scope may incur additional charges.
– Third-party expenses, including Shopify subscriptions, domain registrations, paid themes, applications, advertising spend, supplier fees, and other external services, are not included unless expressly stated.
– Late or overdue payments may result in a pause or suspension of work after reasonable notice.
You are responsible for reviewing invoices and raising any billing concerns promptly.
6. Refunds, Cancellations, and Project Termination
Refund eligibility depends on the service purchased, the stage of work, the applicable agreement, and any mandatory consumer protection laws.
Because our services may involve customized work and time-based professional services, payments for completed work, delivered milestones, purchased third-party products, or non-refundable external expenses may not be refundable to the extent permitted by law.
If you cancel a project after work has begun, you may be responsible for the value of work completed, approved expenses, and other amounts properly payable under your agreement.
If a project is terminated, any refund or outstanding payment will be calculated in accordance with the agreed terms and applicable law.
Nothing in this section excludes any refund or cancellation rights that cannot legally be waived.
7. Project Timelines and Delivery
Estimated delivery dates are provided in good faith and may depend on project complexity, client responsiveness, third-party services, and the availability of required materials.
We will make reasonable efforts to complete projects within the agreed timeframe. However, we are not responsible for delays caused by circumstances outside our reasonable control, including delayed client approvals, third-party platform issues, supplier delays, or service outages.
Where appropriate, we will communicate significant delays and discuss revised delivery expectations.
8. Shopify and Third-Party Platforms
Our services may involve Shopify and other third-party platforms, applications, payment providers, hosting services, domain registrars, suppliers, and ecommerce tools.
We are an independent service provider. Unless explicitly stated otherwise, DropshippingShopify is not Shopify Inc. and is not claiming to be officially affiliated with, endorsed by, or sponsored by Shopify.
Your use of Shopify and other third-party services is subject to their respective terms, policies, fees, and technical requirements.
We are not responsible for changes to third-party pricing, policies, features, account restrictions, outages, or decisions made by those providers.
Clients are responsible for maintaining their own platform accounts and complying with applicable third-party terms.
9. Product Sourcing and Dropshipping
Where product research, sourcing, listing, or dropshipping assistance is included in a project, our role and responsibilities will depend on the agreed scope.
Unless expressly agreed otherwise in writing:
– Product research does not guarantee product demand, profitability, or sales.
– Product availability, pricing, supplier performance, quality, and shipping times may change.
– Suppliers and shipping providers may be independent third parties.
– Clients are responsible for reviewing product suitability, supplier terms, applicable import requirements, and product compliance.
– Clients remain responsible for their own customer service, order fulfillment obligations, returns, refunds, and consumer-facing business policies unless these duties are expressly included in our agreement.
We do not guarantee supplier reliability, uninterrupted stock availability, delivery dates, or product performance.
10. Advertising and Business Results
We may assist with ecommerce setup, store optimization, product listings, or other activities intended to support an online business.
However, we do not guarantee a particular number of visitors, leads, sales, revenue, conversion rates, profits, advertising returns, or search rankings.
Business results depend on factors including market conditions, pricing, competition, product quality, advertising budgets, customer demand, fulfillment, and the client’s business decisions.
Any examples, estimates, forecasts, or projections are illustrative unless explicitly agreed otherwise in writing.
Advertising spend and third-party marketing charges are separate from our service fees unless the relevant proposal expressly states otherwise.
11. Intellectual Property and Ownership
Each party retains ownership of intellectual property that it owned before the project.
Subject to full payment and any written agreement, ownership or usage rights in final, client-specific deliverables will be transferred or licensed as specified in the applicable proposal or service agreement.
Third-party themes, applications, fonts, stock images, software, and other licensed materials remain subject to their respective license terms.
We may use pre-existing tools, general techniques, reusable components, and know-how developed independently of the client’s project.
Clients confirm that they have the necessary rights or permissions to use any materials they provide and authorize us to use those materials for the purpose of delivering the agreed services.
12. Confidentiality and Account Security
Both parties should take reasonable measures to protect confidential information shared during a project.
Clients should provide account access using appropriate permissions wherever possible and should not share unnecessary sensitive information.
We will use reasonable measures to protect information entrusted to us in connection with our services. No method of electronic transmission or storage can be guaranteed to be completely secure.
Clients remain responsible for securing their accounts, passwords, recovery methods, payment details, and administrator permissions.
13. Privacy and Personal Information
Our collection and use of personal information are described in our Privacy Policy.
Information submitted through contact forms, email, WhatsApp, or other communication channels may be used to respond to enquiries, prepare quotations, provide services, process payments, and communicate about projects, subject to applicable law.
Please do not submit passwords, payment card details, or other sensitive information through ordinary contact forms or unsecured messages.
14. Acceptable Use
You agree not to use our website or services to:
– Violate applicable laws or regulations.
– Infringe another person’s intellectual property or privacy rights.
– Distribute fraudulent, deceptive, harmful, or unlawful content.
– Attempt unauthorized access to our website, systems, or accounts.
– Interfere with website operation, security, or availability.
– Use our services for prohibited products, unlawful transactions, or activities that violate applicable platform policies.
We may refuse or suspend work where reasonably necessary to address unlawful activity, material policy violations, security risks, or non-payment, subject to applicable law and any relevant agreement.
15. Disclaimers
Our website and general informational content are provided on an “as available” basis, subject to applicable law.
We make reasonable efforts to provide accurate information and professional services, but we do not warrant that the website will always be uninterrupted, error-free, or compatible with every device or third-party system.
Unless expressly stated in a written agreement, we do not provide legal, tax, accounting, investment, or other regulated professional advice.
Clients should obtain appropriate professional advice regarding their own businesses and legal obligations.
16. Limitation of Liability
To the maximum extent permitted by applicable law, DropshippingShopify will not be liable for indirect, incidental, special, exemplary, or consequential losses, including loss of profits, revenue, business opportunities, data, or anticipated savings arising from the use of our website or services.
To the extent permitted by law, our total liability for claims arising out of a particular project will not exceed the fees paid or payable to us for the specific services giving rise to the claim during that project.
These limitations do not exclude or restrict liability that cannot legally be excluded or restricted under applicable law, including any applicable mandatory consumer rights.
17. Indemnification
To the extent permitted by applicable law, you agree to be responsible for claims, losses, or expenses arising from your unlawful business activities, your infringement of third-party rights, or your breach of these Terms, except to the extent caused by our own breach, negligence, or other conduct for which we remain legally responsible.
18. Suspension and Termination
We may suspend or terminate access to our website or discontinue services where reasonably necessary because of a material breach of these Terms, unlawful activity, security concerns, or non-payment, subject to applicable law and any applicable project agreement.
Upon termination, the parties remain responsible for outstanding obligations accrued before termination, including applicable payments, confidentiality obligations, and intellectual property terms.
19. Changes to These Terms
We may update these Terms & Conditions from time to time to reflect changes in our services, business practices, or legal requirements.
The updated version will be published on this page with a revised “Last Updated” date. Changes will apply as permitted by applicable law. Material changes to an existing project may require separate agreement where appropriate.
20. Governing Law and Disputes
These Terms & Conditions are subject to the applicable laws identified in our accepted service agreement or, where no governing-law provision exists, the laws determined to apply under relevant conflict-of-law rules.
The parties will attempt to resolve disputes through good-faith communication before pursuing formal remedies, where appropriate.
Nothing in this section removes any mandatory legal rights or jurisdiction that applies to a consumer.
By using our website or engaging our services, you acknowledge that you have read and understood these Terms & Conditions, subject to any rights or requirements imposed by applicable law.
